You agree not to engage in any prohibited activities and confirm that: (i) You will maintain all necessary permissions and authorizations. (ii) You are fully accountable for your actions and those of your employees and agents. (iii) Neither you nor your employees will misrepresent the Service. (iv) Your employees with platform access are also bound by these Terms. (v) You, your employees, and agents will cooperate with any information requests from law enforcement, regulators, or telecommunications providers.

7. Marketing Services

7.1 FlowIQ may offer marketing services as specified in the agreed contract or digital agreement. You understand that marketing results may vary, and we do not guarantee specific outcomes such as increased traffic or revenue.

7.2 Content Ownership: Any content created as part of the marketing services belongs to you, though FlowIQ reserves the right to use it for promotional purposes unless otherwise agreed.

8. Consulting Services

8.1 Consulting services are advisory only, and FlowIQ is not liable for any business decisions you make based on our advice.

8.2 Confidentiality: Both parties agree to keep any sensitive business information shared during consultations confidential.

9. Payments and Fees

9.1 Fees: You agree to pay the fees for the services you select as outlined in the contract or order form.

9.2 Payment Terms: Payment is required in advance unless otherwise stated. If a payment fails, you will receive an email or SMS notification that your account is or will be disabled.

9.3. You agree to provide: accurate billing details (name, address, credit card info, and phone number) and to notify us within 10 days of any changes. Fees for the platform include subscription fees, communication surcharges, and other usage-based charges. Fees may change, and subscriptions will be billed in advance on a monthly or annual basis. Usage-based fees will be calculated and billed monthly. Your stored payment method will be automatically charged when fees are due.

9.4 Auto-Renewal: Your subscription will automatically renew, and we will charge the card on file. You are responsible for any overdraft fees. Contact us to update your settings or disable auto-renewal.

9.5 Late Payments: If your payment method is declined, we will attempt to process it for seven business days. If unsuccessful, your account may be disabled or canceled. You will be responsible for any third-party fees or penalties resulting from the failed payment.

9.6 Payment Disputes: If legal action is required to collect overdue balances, you agree to cover our costs, including legal fees. If you dispute any charges, notify us in writing within 30 days of the invoice date. Fees must still be paid during the dispute. You must act in good faith to resolve the issue, and our decision regarding the fees is final.

9.7 Cancellations: You can cancel your subscription through your account or by contacting our support team. You are responsible for canceling your services, and all fees incurred before cancellation will still apply. No refunds will be provided if the services were not properly canceled.

9.7.1 Refunds: Payments are non-refundable unless otherwise specified.

9.8 Non-refundable Fees: All fees, including subscription fees and communication surcharges, are non-refundable, even if you don’t use the services during your subscription. Errors made by you or third parties are your responsibility. We do not issue refunds or credits for such mistakes, unused services, or partial use of services. Refunds or credits are at our sole discretion and are final.

9.9 Pre-paid Third-Party Services: Some services, like ad-buying, require pre-payment. Unused or canceled pre-paid services are non-refundable, though account credits for future services may be issued at our discretion. Some services with minimum subscription commitments cannot be canceled until the term is completed. 14.2 Termination by FlowIQ: We may suspend or terminate your account if you violate these Terms or fail to make payments.

14.3 Effect of Termination: Upon termination, all licenses provided under these Terms will be revoked, and you must discontinue use of any software or materials provided. Your data may be deleted unless otherwise specified by law or an agreement.

15. Governing Law and Dispute Resolution

15.1 Any disputes arising from these Terms will be settled in the courts or through binding arbitration in chosen by FlowIQ LLC, unless otherwise legally required.

16. United States Legal Compliance

16.1 You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

17.1 If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

18. Waiver

18.1 Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
